Upload & Publishing Agreement

Each time you publish content on Scriptorium.works, you confirm that you have read and agree to the terms below. This Agreement supplements and incorporates by reference our Terms of Service, Author Agreement, and Copyright & DMCA Policy. The Platform is operated by IVI CREATIVE AGENCY LLC, a limited liability company organized under the laws of the State of Ohio, United States of America. At upload, you must choose one of two paths: (A) Your Own Original Work (priced) or (B) Third-Party Material (free distribution only, in strictly defined sub-categories).

1. Category Selection at Upload

Every upload begins with a mandatory choice between two fundamental categories:

CATEGORY A — YOUR OWN ORIGINAL WORK: A work authored by you, which you may sell at a price you set, processed through your own Stripe Connect Standard account.

CATEGORY B — THIRD-PARTY MATERIAL: A work that is NOT your own original creation, but which you have the right to redistribute. Available exclusively for FREE distribution on the Platform. Subdivided into three sub-categories: B.1 Public Domain, B.2 Creative Commons, B.3 Written Permission.

This choice determines: (i) the declarations you must check; (ii) the documents you must attach; (iii) the rules applicable to your listing; (iv) the legal evidentiary record stored in our database. Choosing the wrong category or making a false declaration constitutes a material breach of this Agreement and may result in immediate account termination plus legal consequences under 17 U.S.C. § 512(f) and equivalent provisions of applicable law.

SECTION A — YOUR OWN ORIGINAL WORK

This Section applies only if you select Category A at upload. You must confirm each declaration below by individual checkbox:

☐ A.1 — Original Authorship: I am the original author of this work. I have not copied, plagiarized, or reproduced works of third parties, except for short quotations within the bounds of fair use under 17 U.S.C. § 107, with appropriate attribution.

☐ A.2 — Rights & Permissions: I hold all necessary rights, licenses, and permissions to upload and sell this work on Scriptorium.works.

☐ A.3 — Non-Infringement: The work does not infringe any copyright, trademark, trade secret, right of publicity, right to privacy, or other intellectual property or personality right of any third party.

☐ A.4 — Joint Authorship Consent: If the work is jointly authored, I have the written consent of all co-authors for this publication and shall provide such evidence upon request.

☐ A.5 — AI Disclosure: If the work was created with the assistance of artificial intelligence tools, I disclose this clearly in the listing description, in accordance with the AI-Generated Content section of our Copyright & DMCA Policy.

☐ A.6 — Exclusivity Understanding: I understand that marking this work as "exclusive" on Scriptorium.works obligates me not to sell it on other platforms for the duration of the exclusivity period.

☐ A.7 — Pricing & Revenue: I understand that I may set my own price for this work, processed through my Stripe Connect Standard account. The Platform retains a ten percent (10%) commission (application fee) on each sale. The remaining ninety percent (90%), less standard Stripe processing fees, is credited directly to my Stripe Connect account.

PRINCIPLES APPLICABLE TO OWN WORKS:

You retain copyright. Publishing on Scriptorium.works does not transfer your copyright. You remain the sole copyright owner of your work.

You may withdraw the listing at any time. Withdrawal terminates the Platform's license to display your work to new visitors but does not affect already-completed purchases.

You warrant originality under contractual liability and applicable legal consequences. False declarations are a material breach with potential statutory consequences.

SECTION B — THIRD-PARTY MATERIAL (FREE DISTRIBUTION ONLY)

This Section applies only if you select Category B at upload. Third-party material is distributed EXCLUSIVELY FREE OF CHARGE on the Platform — no exception. Voluntary tipping from readers to you (as curator) is permitted via your Stripe Connect account, but does NOT constitute compensation for the original work and may not be presented as such.

At upload you must choose one of the three sub-categories. Each has its own mandatory declarations and required documents.

— B.1 — PUBLIC DOMAIN —

Sub-category for works whose copyright protection has expired (author died at least 70 years ago in most jurisdictions). You must declare by checking:

☐ B.1.1: The original author of this work died at least seventy (70) years ago, placing the work in the public domain in the jurisdictions where it will be distributed.

☐ B.1.2: I will provide at upload: the original author's full name; year of birth (if known); year of death (required).

☐ B.1.3: I understand that for anonymous or pseudonymous works, the rules differ (75 years from publication in the United States, 70 years from publication in the European Union), and I have verified applicability for my specific work.

☐ B.1.4: I understand that the work cannot have a price on the Platform; it is distributed exclusively free of charge.

☐ B.1.5: I understand that a critical edition, translation, or modern adaptation of a public domain work may have its own separate rights (distinct from the original work); these do NOT fall within Category B.1 without separate permission and must be uploaded under Category B.3 with appropriate documentation.

Required upload fields: Original author name, Year of birth (optional), Year of death (required).

— B.2 — CREATIVE COMMONS —

Sub-category for works distributed under a Creative Commons license compatible with our Platform. You must declare by checking:

☐ B.2.1: This work is distributed under a Creative Commons license, and the license type is one of those accepted by the Platform (CC0, CC-BY, CC-BY-SA, CC-BY-NC, CC-BY-NC-SA).

☐ B.2.2: The license is NOT of the ND (No Derivatives) type — the work permits redistribution and (where applicable) modification.

☐ B.2.3: I will attach the document containing the license text or the official license link at upload.

☐ B.2.4: I will clearly indicate the original author (attribution), as required by the CC license terms.

☐ B.2.5: I understand that the work cannot have a price set — exclusively free distribution on the Platform.

Required upload fields: Original author name, Exact CC license type (from dropdown), License link or attached document.

— B.3 — WRITTEN PERMISSION FROM AUTHOR / RIGHTS HOLDER —

Sub-category for works for which you have received explicit, written consent from the rights holder. You must declare by checking:

☐ B.3.1: I have received explicit, written consent from the rights holder for redistribution of this work on Scriptorium.works.

☐ B.3.2: I will attach the document evidencing the permission (signed PDF, email with valid electronic signature, scanned contract, or legally equivalent document).

☐ B.3.3: The permission specifically covers digital redistribution on online platforms (NOT only print publication or other media).

☐ B.3.4: If the work is jointly authored, I have the consent of ALL co-authors (not just one).

☐ B.3.5: I understand that verbal, implied, or presumed permission is NOT accepted — only documented written evidence.

☐ B.3.6: I understand that the work cannot have a price set — exclusively free distribution on the Platform.

☐ B.3.7: I undertake to preserve the original permission document and to provide it upon request in original or certified copy form in case of dispute.

Required upload fields: Rights holder name, Date of permission, Proof document (mandatory attachment).

GENERAL PRINCIPLES APPLICABLE TO ALL SUB-CATEGORIES B:

Manual Review: Materials in B.2 and B.3 may be subject to manual review by our team before publication. Submissions that cannot be verified are rejected with explanation. Good-faith rejections do NOT result in a Strike under our Strikes Policy.

Permanent Documentation: All declarations made at upload (chosen category, individual checkboxes, attachments, timestamp, IP address, browser user agent, and the exact version of this Agreement in effect at the time of upload) are stored permanently in our database and may be used as evidence in any legal proceeding. By uploading, you consent to such evidentiary use.

Voluntary Tipping: Readers may leave voluntary tips through your Stripe Connect account in recognition of your curation/editorial effort. Tipping is NOT compensation for the original work and may not be characterized as such.

3. License Granted to the Platform (Applies to Both Sections)

Regardless of the Category (A or B) chosen, you grant Scriptorium.works a worldwide, non-exclusive, royalty-free license to:

(a) Store, display, and reproduce the work for the purpose of operating the Platform;

(b) Generate protected preview pages (typically the first 15–20% of the content) visible to potential readers;

(c) Create thumbnails and cover images for display in search results and listings;

(d) Securely transmit the file to purchasers (for Category A) or users downloading free of charge (for Category B);

(e) Index the metadata for internal search, recommendations, and analytics.

This license is strictly limited to the operation of the Platform and does NOT authorize Scriptorium.works to sell, sublicense, or commercially exploit your work in any other manner beyond the explicit functionality of the Platform.

The license terminates automatically upon withdrawal of the listing, but does not affect previously completed purchases (Category A) or previously executed downloads (Category B).

4. Content Standards (Applies to Both Sections)

Regardless of category, you confirm by checking:

☐ The uploaded work does NOT contain content that sexualizes minors in any way, to any degree, in any form (including fictional, illustrative, or suggestive).

☐ The work does NOT contain content illegal under applicable law (hate speech, incitement, instructions for illegal activity, terrorist content, child sexual abuse material, etc.).

☐ The work does NOT contain malicious files, executable scripts, injected code, or other material that could compromise the security of users or the Platform.

☐ The work is NOT defamatory, harassing, fraudulent, or deceptive in relation to real persons, organizations, or events.

☐ The work does NOT promote discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other characteristics protected by applicable law.

We reserve the right to remove any content that violates these standards, without prior notice, and to terminate repeat-offender accounts.

5. Accurate Metadata

You agree to provide accurate and truthful information in your listing, including but not limited to: title, description, category, language, word/page count, year of publication (for third-party works), and original author name (for third-party works).

Misleading or fraudulent metadata (e.g., false word count, incorrect category, false year of death for Category B.1) constitutes a breach of this Agreement and may result in: (a) removal of the listing without prior notice; (b) issuance of a Strike under the Strikes Policy; (c) account termination in serious or repeat cases.

6. Responsibility for Content and Indemnification

You are solely responsible for the content you upload and for the truthfulness of all declarations made at upload. If a third party submits a valid DMCA notice regarding your listing, we are required to remove the content promptly, in accordance with law.

Violations accumulate under the Strikes Policy (see Copyright & DMCA Policy, Section 8): Strike 1 = warning + content removal; Strike 2 (within 90 days) = 7-day upload restriction; Strike 3 (within 90 days) = permanent account termination and potential balance redirect to rights holder.

INDEMNIFICATION: To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless IVI CREATIVE AGENCY LLC, its directors, officers, employees, agents, affiliates, and successors from and against any and all claims, demands, actions, suits, proceedings, damages, judgments, settlements, costs, expenses, and reasonable attorneys' fees arising out of or related to: (i) any content you upload in violation of this Agreement; (ii) any breach of your representations, warranties, or covenants under this Agreement; (iii) your violation of any applicable law; (iv) your infringement of any third-party rights. This indemnification obligation survives termination of your account.

False declarations at upload may carry legal consequences under penalty of perjury, pursuant to 17 U.S.C. § 512(f) and equivalent provisions of applicable law.

7. Removal of Content

You may remove your own listings at any time through your dashboard. Removal terminates the Platform license to display your work to new visitors but does not affect previously completed purchases (Category A) or previously executed downloads (Category B).

Scriptorium.works may remove content at any time, without prior notice, for the following reasons: (a) valid DMCA notification; (b) violation of Content Standards (Section 4); (c) fraudulent metadata (Section 5); (d) failure of manual review for B.2 and B.3 materials; (e) court order or legal requirement; (f) account termination for any reason permitted under our Terms of Service.

8. Stripe Connect Standard Relationship

To publish your own works (Category A) with a price, you must create a Stripe Connect Standard account. This account is YOURS — Scriptorium.works does not hold or control your funds. Onboarding is conducted directly by Stripe, which collects all required KYC and tax information (W-9 for U.S. authors, W-8BEN for non-U.S. authors).

For each sale of a Category A work, Stripe processes the payment directly into your Stripe Connect account, with a ten percent (10%) "application fee" automatically transferred to Scriptorium.works. The remaining ninety percent (90%) remains in your Stripe balance, after Stripe deducts its standard processing fees (currently 2.9% + $0.30 for U.S. cards, 3.9% + $0.30 for international cards, subject to Stripe's current pricing).

Stripe handles: payouts to your bank, currency conversions (where applicable), and tax forms (1099-NEC for U.S. authors exceeding $600/year, W-8BEN collection for non-U.S. authors). Scriptorium.works does NOT issue tax forms on your behalf and is NOT party to your tax obligations as an author.

In the event of termination of your account on Scriptorium.works (e.g., for serious violations), your Stripe funds remain in your Stripe account — the relationship with Stripe is independent of the relationship with us. EXCEPTION: In the case of Strike 3 for copyright violations, funds remaining in your Stripe Connect balance may be redirected to the identifiable rights holder, in accordance with applicable law and platform discretion, as detailed in our Copyright & DMCA Policy.

For third-party works (Category B), Stripe Connect is used solely for receipt of voluntary tipping — not for direct sale of the work itself.

9. Modification of This Agreement

We reserve the right to modify this Agreement at any time. Modifications take effect on the date of publication on this page.

For material modifications (e.g., change of application fee percentage, change of third-party material rules), we will notify users by email at least thirty (30) days before the effective date. Continued use of the Platform after notification constitutes acceptance of the modifications.

All declarations made at upload are recorded with the exact version of this Agreement in effect at the date of upload — subsequent modifications do not apply retroactively to existing uploads.

10. Governing Law, Severability, and Contact

This Agreement is governed by the laws of the State of Ohio and the federal laws of the United States, without regard to conflict-of-laws principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Cuyahoga County, Ohio, USA.

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
